FTC Decision and Order Regarding Universal Health Services Acquisition of Psychiatric Solutions
April 22, 2011 Universal Health Services (UHS) acquired Psychiatric Solutions in November 2010. However, the U.S. Federal Trade Commission (FTC) said the acquisition was anticompetitive in three markets—Delaware; Las Vegas, Nevada; and Puerto Rico. UHS was required to sell four facilities in the affected markets as a condition of FTC approval. The FTC order was finalized on April 29, 2011. This document lists the terms; UHS was required to sell the facilities to organizations with sufficient financial, professional, and operational resources to be a strong and effective competitor in the market.
